Small / Mid Cap Value Equity Option Change Effective August 3, 2007

The Investment Plans Committee announces that effective August 3, 2007, there will be a fund manager change for the Small / Mid Cap Value Equity Option. The Evergreen Small Cap Value Fund I (ESKIX) will be replaced with the WHG SMidCap Fund Institutional Fund (WHGMX). The WHG SMidCap Fund Institutional Equity Fund is managed by Westwood Management Corp. A fact sheet on the WHG SMidCap Fund Institutional Equity Fund is enclosed for your information.

In accordance with its investment policy, the Committee regularly monitors the fund managers for all investment options that are available to plan participants. The Committee may, from time-to-time, replace a fund manager in order to ensure that the goals of its investment policy are met. With respect to the Small Mid Cap Value Equity Option expected turnover in the portfolio management team, investment performance below the policy benchmarks, and a significant reduction in assets under management have been under review by the Committee. As a result of its review, the Committee decided to replace the Evergreen Small Cap Value Fund.

The Committee’s investment analyst, R. V. Kuhns & Associates, Inc., provided manager searches to the Committee and on April 4, 2007, the Committee interviewed three small/mid cap value equity managers before selecting the WHG SMidCap Fund Institutional Equity Fund.

On August 3, 2007, participant investments in the Evergreen Small Cap Value Fund will be sold, and re-invested in the WHG SMidCap Fund Institutional Equity Fund. Participants can make changes the next business day, August 6, 2007. There will be no blackout period.
